Welcome to Hotelio, the browser extension and online service of Grey Star Travel, LLC. (“Hotelio,” “Grey Star Travel,” “we,” or “us”). Our Privacy Policy explains how we collect, use, disclose, and protect information that applies to our Service, and your choices about the collection and use of your information.For all purposes, the English language version of this Privacy Policy shall be the original, governing instrument and understanding of the parties. 1. HOW WE COLLECT AND USE INFORMATION
Capitalized terms that are not defined in this Privacy Policy have the meaning given them in our Terms of Use
We collect the following types of information about you:Information you provide us directly: When you register for an account with Hotelio, we ask for your to enter your e-mail address and ask that you create a password, followed by your first and last name, and preferred payout method and username (e.g., PayPal or Venmo). Upon successfully reserving a hotel, we request that the reservation confirmation be forwarded via e-mail to our dedicated booking email, [email protected]. This information is used solely for cash back verification purposes and is not shared with any third parties. We may retain any messages you send through the Service, and may collect information you provide in any content you provide to the Service. We use this information to operate, maintain, and provide to you the features and functionality of the Service, as well as to communicate directly with you, such as to send you email messages and push notifications. We may send you emails containing newsletters, promotions and special offers. If you do not want to receive such email messages, you will be given the option to opt out or change your preferences. We also use your information to send you Service-related emails (e.g., account verification, booking confirmation, changes/updates to features of the Service, technical and security notices). You may not opt out of Service-related e-mails. Information we may receive from third parties: We may receive information about you from third parties. For example, if you access our websites or Service through a third party connection or log-in such as Facebook, by “following,” or “liking,” us on social media, or adding the Hotelio application, that third party may pass certain information about your use of its service to us. This information could include, but is not limited to, the user ID associated with your account (for example, your Facebook UID), an access token necessary to access that service, any information that you have permitted the third party to share with us, and any information you have made public in connection with that service. You should always review, and if necessary, adjust your privacy settings on third-party websites and services before linking or connecting them to the Hotelio service. You may also unlink your third party account from the Service by adjusting your settings on the third party service.Information automatically collected: We automatically collect certain types of usage information when you visit our website or use our Service. When you visit the Service, we may send one or more cookies — a small text file containing a string of alphanumeric characters — to your computer that uniquely identifies your browser and enhances your navigation through the site. A cookie may also convey information to us about how you use the Service (e.g., the pages you view, the links you click and other actions you take on the Service), and allow us or our business partners to track your usage of the Service over time. You can set your web browser to refuse all cookies or to indicate when a cookie is being sent. However, some features of the Service may not function properly if the ability to accept cookies is disabled. The Service automatically collects hotel booking information when a user reserves a room with Hotelio installed, including the hotel name, hotel location, date of stay, time and date the reservation was made, and the total cost of the stay. This information allows us to verify cash back payouts are sent in the right amount to the right person. We also use this information to assist us in improving the service. We also may collect log file information from your browser or mobile device each time you access the Service. Log file information may include anonymous information such as your web request, Internet Protocol (“IP”) address, browser type, referring / exit pages and URLs, number of clicks and how you interact with links on the Service, domain names, landing pages, pages viewed, and other such information. We may employ clear gifs (also known as web beacons), which are used to anonymously track the online usage patterns of our Users. In addition, we may also use clear gifs in HTML-based emails sent to our users to track, which emails are opened and which links are clicked by recipients. The information allows for more accurate reporting and improvement of the Service. We may also collect analytics data, or use third-party analytics tools, to help us measure traffic and usage trends for the Service. These tools collect information sent by your browser or mobile device, including the pages you visit and other information that assists us in improving the Service. Although we do our best to honor the privacy preferences of our visitors, we are not able to respond to Do Not Track signals from your browser at this time.We use or may use cookies, log file, device identifiers, location data and clear gifs information to: (a) remember information so that you will not have to re-enter it during your visit or the next time you visit the site; (b) provide custom, personalized content and information, including advertising; (c) to provide and monitor the effectiveness of our Service; (d) monitor aggregate metrics such as total number of visitors, traffic, and demographic patterns; (e) diagnose or fix technology problems; and (f) help you efficiently access your information after you sign in.

2. SHARING OF YOUR INFORMATION
We may share your personal information in the instances described below. For further information on your choices regarding your information, see “Your Choices About Your Information,” below. We may share your personal information with:
- Third party vendors, consultants and other service providers that perform services on our behalf, in order to carry out their work for us, which may include content or service fulfillment, billing, or providing analytics services;- Third parties and the public at your request. Any information or content that you voluntarily disclose for posting to the Service may become available to the public, as controlled by any applicable posting settings, which may be changed before each posting. Subject to your posting settings, any content that you make public is searchable by other Users. If you remove information that you posted to the Service, copies may remain viewable in cached and archived pages of the Service, or if other Users have copied or saved that information.- Other parties in connection with any company transaction, such as a merger, sale of company assets or shares, reorganization, financing, change of control or acquisition of all or a portion of our business by another company or third party or in the event of bankruptcy or related or similar proceedings; and- Third parties, if we have a good faith belief that such sharing is required to (i) satisfy any applicable law, regulation, subpoena/court order, legal process or other government request, (ii) enforce our Terms of Use Agreement, including the investigation of potential violations thereof, (iii) investigate and defend ourselves against any third party claims or allegations, or (iv) protect against harm to the rights, property or safety of Hotelio, its users or the public as required or permitted by law. Please note that we are obliged to disclose personal information in response to lawful requests by public authorities, including to meet national security or law enforcement needs.We may also share information with others in an aggregated and anonymous form that does not reasonably identify you directly as an individual. Hotelio may be liable for appropriate onward transfers of personal data to third parties.

3. HOW WE STORE AND PROTECT YOUR INFORMATION
Storage and Processing: Your information collected through the Service may be stored and processed in the United States or any other country in which Hotelio or its subsidiaries, affiliates or service providers maintain facilities. If you are located in the European Union or other regions with laws governing data collection and use that may differ from U.S. law, please note that we may transfer information, including personal information, to a country and jurisdiction that does not have the same data protection laws as your jurisdiction, and you consent to the transfer of information to the U.S. or any other country in which Hotelio or its parent, subsidiaries, affiliates or service providers maintain facilities and the use and disclosure of information about you as described in this Privacy Policy.
Keeping your information safe: We care about the security of your information, and use commercially reasonable safeguards to preserve the integrity and security of all information collected through the Service. To protect your privacy and security, we take reasonable steps (such as requesting a unique password) to verify your identity before granting you access to your account. You are responsible for maintaining the secrecy of your unique password and account information, and for controlling access to your email communications from Hotelio, at all times. However, Hotelio cannot ensure or warrant the security of any information you transmit to Hotelio or guarantee that information on the Service may not be accessed, disclosed, altered, or destroyed. Hotelio is not responsible for the functionality or security measures of any third party.Compromise of information: In the event that any information under our control is compromised as a result of a breach of security, we will take reasonable steps to investigate the situation and where appropriate, notify those individuals whose information may have been compromised and take other steps, in accordance with any applicable laws and regulations.

4. YOUR CHOICES ABOUT YOUR INFORMATION
You control your account information and settings: You may update your account information at any time by navigating to the Account page on the Hotelio browser extension.
Communications: You can also stop receiving promotional email communications from us by clicking on the “unsubscribe” link provided in such communications. We make every effort to promptly process all unsubscribe requests. As noted above, you may not opt out of Service related communications (e.g., booking receipt confirmation, changes/updates to features of the Service, technical and security notices).Online Advertising: We may permit third party online advertising networks to collect information about your use of our website over time so that they may play or display ads that may be relevant to your interests on our Service as well as on other websites or apps. Typically, the information we share is provided through cookies or similar tracking technologies, which recognize the device you are using and collect information, including click stream information, browser type, time and date you visited the site, and other information. This information is used to display targeted ads on or through our Services, or to our users or visitors to our websites on other websites or apps. We or the online advertising networks use this information to make the advertisements you see online more relevant to your interests. You may be able to set your browser to delete cookies or alert you when cookies are set. Please refer to your browser’s or mobile device’s technical information for instructions on how to delete and disable cookies, and other tracking/recording tools. Note that disabling cookies may disable many features available through the Service. We may retain your anonymized or aggregated profile information and content in perpetuity after deleting all personally identifiable data.You have the right to access your personal information: You may access your data to review or correct it through the My Account pages. You may also delete your account entirely by contacting [email protected] and requesting as such. Upon receipt of your request to delete your account, we will promptly delete the account, though we may retain and use certain information if necessary to comply with our legal obligations, resolve disputes, and enforce our agreements, and all information stored in our backup data repository will be deleted pursuant to our standard deletion policy. Please be aware that we will not be able to delete any content that has already been shared with others, and that we do not control information that third parties may have about you. 5. CHILDREN’S PRIVACY
Hotelio does not knowingly collect or solicit any information from anyone under the age of 13 or knowingly allow such persons to register as Users. In the event that we learn that we have collected personal information from a child under age 13, we will delete that information as quickly as possible. 6. LINKS TO OTHER WEB SITES AND SERVICES
We are not responsible for the practices employed by websites or services linked to or from the Service, including the information or content contained therein. Please remember that when you use a link to go from the Service to another website, our Privacy Policy does not apply to third-party websites or services. Your browsing and interaction on any third-party website or service, including those that have a link or advertisement on our website, are subject to that third party’s own rules and policies. In addition, you agree that we are not responsible for and we do not have any control over any third-parties that you authorize to access your content. If you are using a third-party website or service (like Facebook) and you allow such a third-party access to your content, you do so at your own risk. This Privacy Policy does not apply to information we collect by other means (including offline) or from other sources other than through the Service.

- Commercial Information, including account history relating to your hotel reservations, your rewards information including cash back, points and other rewards earned/redeemed, earning/redemption statements, rewards status, rewards earning cap status, and transaction identifiers used to connect your transactions to you to provide the associated benefits and rewards, your profile information relating to your bookings, purchases, and interests, and feedback and ratings you provide relating to our services, products, and rewards.
- Internet/Network Information, such as device information, logs and analytics data.
- Geolocation Data, including your general geographic location
- Profession/Employment Information, including the business or organization you represent, your title with that business or organization and information relating to your role with the business or organization

Before processing your request, we will need to verify your identity and confirm you are a resident of the State of California. In order to verify your identity, we will generally require the matching of sufficient information you provide us to the information we maintain about you in our systems. This page explains the terms by which you may use our online and/or mobile services, products, web site, browser add-on extension, and software provided on or in connection with our service (collectively the “Services”). By accessing or using the Services, you signify that you have read, understood, and agree to be bound by this Terms of Use Agreement (“Agreement”) and to the collection and use of your information as set forth in our Privacy Policy at https://hotelioprivacypolicy.carrd.co/ whether or not you are a registered user of our Service.For all purposes, the English language version of this Agreement shall be the original, governing instrument and understanding of the parties. In the event of any conflict between the English language version of the Agreement and any subsequent translation into any other language, the English language version shall govern and control.We reserve the right to make unilateral modifications to these terms and will provide notice of these changes as described below. This Agreement applies to all visitors, users (including, without limitation, Participating Properties and Members, each as defined below), and others who access the Services (“Users”).PLEASE READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. The Services allows Users who create an account with the Services ("Users") to earn and redeem loyalty reward points ("Cash Back") for incurring Eligible Guest Stays (as defined below) at lodging providers that are listed at https://hotelio.app/#getready ("Participating Property" or "Participating Properties") or by qualifying for additional promotional bonuses from Hotelio or Participating Properties. Members may earn Cash Back as a guestroom occupant of a Participating Property (a "Guest") subject to the terms herein. If approved by Hotelio separately in writing, a User may also earn Cash Back as a planner or facilitator of a group or event at a Participating Property (a "Planner"), or as a person who influenced a User's decision to register for or use the Services ("Enroller", "Promoter", or "Hotel Agent"). Please inquire about these additional roles by emailing us at [email protected]. Users who have an account with more than one service of Hotelio will earn and redeem Cash Back as if the User has a single account. We reserve the right to change the list of Participating Properties at any time without notice or liability to you. If Hotelio learns that you have a future reservation at a Participating Property that withdraws from or is otherwise de-listed from the Services prior to your stay, then we reserve the right to not distribute Cash Back to the User without attempting to contact you via your primary e-mail address designated in your account profile to inform you of the change in status. It is your sole responsibility to ensure that the lodging provider is a Participating Property. A list of current Participating Properties can be found at https://hotelio.app/#getready.
The Services also provides a place for Users to search for and make reservations at Participating Properties. When you make a reservation, you are entering into a contract with the respective provider via the Services, not with Hotelio itself.

A. SERVICE ELIGIBILITY
You may use the Services only if you can form a binding contract with Hotelio, and only in compliance with this Agreement and all applicable local,state, national, and international laws, rules and regulations. Any use or access to the Services by anyone under 13 is strictly prohibited and in violation of this Agreement. The Services are not available to any Users previously removed from the Services by Hotelio.
B. THE SERVICES
Subject to the terms and conditions of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, freely revocable license to use the Services as permitted by the features of the Services solely for your personal, non-commercial use. We reserve all rights not expressly granted herein in the Services and Hotelio Content (as defined below). We may terminate this license at any time for any reason or no reason. In order for Hotelio to provide you with the Services related to any downloadable browser extensions or apps, you hereby authorize us to capture information from third party sites during your browsing sessions for the purposes of providing those Services when such information has been provided to or displayed for you.
C. ACCOUNTS
Your account with Hotelio gives you access to the Services and functionality that we may establish and maintain from time to time and in our sole discretion. We may maintain different types of accounts for different types of Users. If you open an account with Hotelio on behalf of a company, organization, or other entity, then (a) “you” includes you and that entity, and (b) you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to this Agreement, and that you agree to this Agreement on the entity’s behalf. If you have an account with more than one service of Hotelio, we may share your information between your accounts in order to provide you with the Services.
You may never use another User’s account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. You may reset your password at any time by emailing us at [email protected] and requesting as such. You must notify us immediately of any breach of security or unauthorized use of your account. We will not be liable for any losses caused by any unauthorized use of your account.By providing Hotelio your email address you consent to our using the email address to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. We may also use your email address to send you other messages, such as changes to features of the Services and special offers. If you do not want to receive certain email messages, you may opt out or change your preferences in your account profile/settings pages by emailing [email protected] and requesting as such. Opting out may prevent you from receiving certain email messages regarding the Services that may be of interest to you.D. SERVICE RULES
You agree not to engage in any of the following prohibited activities: (i) copying, distributing, or disclosing any part of the Services in any medium, including without limitation by any automated or non-automated “scraping”; (ii) using any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc., to access the Services in a manner that sends more request messages to Hotelio servers than a human can reasonably produce in the same period of time by using a conventional on-line web browser (except that Hotelio grants the operators of public search engines revocable permission to use spiders to copy materials from our websites for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (iii) transmitting spam, chain letters, or other unsolicited email; (iv) attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Services; (v) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure; (vi) uploading invalid data, viruses, worms, or other software agents through the Services; (vii) collecting or harvesting any personally identifiable information, including account names, from the Services; (viii) using the Services for any commercial solicitation purposes; (ix) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity; (x) interfering with the proper working of the Services; (xi) accessing any content on the Services through any technology or means other than those provided or authorized by the Services; or (xii) bypassing the measures we may use to prevent or restrict access to the Services, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein.
We may, without prior notice, change the Services; stop providing the Services or features of the Services, to you or to Users generally; or create usage limits for the Services. We may permanently or temporarily terminate or suspend your access to the Services without notice and liability for any reason, including if in our sole determination you violate any provision of this Agreement, or for no reason. Upon termination for any reason or no reason, you continue to be bound by this Agreement.You are solely responsible for your interactions with other Users. We reserve the right, but have no obligation, to monitor disputes between you and other Users. We shall have no liability for your interactions with other Users, or for any User’s action or inaction.2. OUR PROPRIETARY RIGHTS
The Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and music (“Hotelio Content”), and all Intellectual Property Rights related thereto, are the exclusive property of Hotelio and its licensors. Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Hotelio Content.  Use of Hotelio Content for any purpose not expressly permitted by this Agreement is strictly prohibited.
You may choose to or we may invite you to submit comments or ideas about the Services, including without limitation about how to improve the Services or our products (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Hotelio under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission, Hotelio does not waive any rights to use similar or related ideas previously known to Hotelio, or developed by its employees, or obtained from sources other than you.3. MAKING RESERVATIONS
The Services’ reservation tools are provided for Users to facilitate legitimate transactions with Participating Properties. Separate terms and conditions will apply to any reservations that you make.
You agree to the terms or conditions associated with each Participating Property with whom you elect to deal including, but not limited to financial responsibility for and payment of all amounts when due and compliance with the Participating Property's rules and restrictions regarding availability and use of rates, services, or products.You also agree that the Services shall only be used by you to make legitimate reservations for you or for another person for whom you are legally authorized to act. Any false, speculative, or fraudulent reservation or any reservation in anticipation of future demand is prohibited.4. EARNING CASH BACK
Subject to the terms and conditions of the “Cash Back Eligibility” Sections below, Hotelio provides, through the Services, Cash Back to Members based on Eligible Guest Charges (as defined below) incurred at Participating Properties or based on other promotional bonuses offered by Hotelio or Participating Properties. The Participating Properties and the terms and conditions governing each Participating Property rewards program may vary from time to time and are subject to change without notice. Loyalty Rewards are not considered earned by Users unless: (i) they are approved or validated by Hotelio; (ii) the User has expressed interest in utilizing their account, as determined by Hotelio in its sole discretion (an “Activated Member”), at least once in the period of time commencing with their original enrollment into the Services and ending sixty (60) calendar days after completion of their first Eligible Stay (as defined below); and (iii) if applicable, the Cash Back have been funded by the issuing Participating Property (“Earned”).

Cash Back that is earned based upon a currency other than the currency selected in your account profile/settings for redemption of Loyalty Rewards will be converted by a third-party conversion service (“Currency Converter”) to Dollars. The Cash Back conversion will be made at the conversion rate chosen by the Currency Converter as of the date of the final Participating Property bill. By using the Services, all Users agree to the use of the third-party Currency Converter. Cash Back may be redeemed by Users through the Services as Hotelio so determines.If any Cash Back redeemed by you through the Services are subsequently determined to be ineligible or to have been redeemed in error, Hotelio may recall such Cash Back upon notice to you, and you agree to return all applicable amounts of such Cash Back to Hotelio within sixty (60) days of the receipt of such notice. Cash Back has no cash value until redeemed.5. REDEEMING CASH BACK
Hotelio provides Users with two options to redeem Cash Back. Cash Back may be redeemed as soon as 10 days after Eligible Guest Stay but may vary from time to time, subject to certain eligibility and expiration rules as provided by Hotelio (“Trip Rewards”). Each User may redeem, through the Services, Cash Back within its account through automatic redemption via a payment service chosen by the User (which may be subject to a minimum or maximum threshold or specific amount and is a redemption option presented by the Services and is subject to change without reason or notice to the User). Cash Back that has been redeemed by a User but remains uncollected (“Uncollected Cash Back”) may be returned to Hotelio. Uncollected Cash Back may be redeemed again by contacting [email protected] and requesting as such. We reserve the right to withhold redemption or charge back to any User’s account any amounts otherwise due to us under this Agreement, or amounts due to any breach of this Agreement by the applicable User, pending our reasonable investigation of such breach. To ensure proper redemption of Cash Back, each User is solely responsible for providing to and maintaining with the Services accurate contact and other information associated with its account, which includes, without limitation, applicable tax information. If a Member cancels the Services prior to redeeming all remaining Cash Back, it will lose the ability and forfeit the right to redeem any remaining Cash Back balance in the account at the time of cancellation (unless required otherwise by applicable law). If we believe that we are obligated to obtain tax or other information from you, as a User, and you do not provide this information to us after we have requested it, we may withhold redemption of Cash Back you have requested be redeemed until you provide this information or otherwise satisfy us that you are not a person or entity from whom we are required to obtain such information. You acknowledge that any third-party fees related to returned or canceled Cash Back redemptions that result from any incorrect or out-of-date contact or other information provided by you may be deducted from your future Cash Back redemptions. We may be required by law to treat the issuance or redemption of Cash Back as income to you and to report the value of the Cash Back to government entities. The valuation of the issuance or redemption of Cash Back for such reporting purposes will be at our sole discretion. You agree to pay all applicable taxes or charges imposed by any government entity in connection with your participation in the Services and to cooperate fully with us in any matters related to reporting and tax compliance. If you dispute any Cash Back redemption made hereunder, you must notify Hotelio in writing within thirty (30) days of such redemption. Failure to so notify us shall result in the waiver by you of any claim relating to such disputed Cash Back redemption. Cash Back redemptions shall be calculated solely based on records maintained by us. No other measurements or statistics of any kind shall be accepted by Hotelio or have any effect under this Agreement. We may deduct or withhold any taxes or other amounts from your Cash Back redemptions as required by law.
6. MAINTAINING CASH BACK
Cash Back that has not otherwise expired shall remain available for redemption as long as a User has expressed interest in maintaining their account, as determined by Hotelio in its sole discretion (an “Active Account”) at least once each calendar year beginning the calendar year following initial enrollment into the program. A User will lose the ability and irrevocably forfeit the right to redeem any remaining Cash Back balance in its accounts at the time that such User ceases to have an Active Account (unless required otherwise by applicable law).
7. CASH BACK ELIGIBILITY
In order to be eligible for redemption, Cash Back must be earned on Eligible Guest Charges, as provided below:
A. ELIGIBLE STAY
Cash Back may be earned for an “Eligible Stay,” defined as one (1) or more consecutive nights the applicable Guest spent in a Participating Property while you were enrolled in the Services, regardless of whether the Guest checked out and checked back in, and subject to Section 1 above, if (a) you were enrolled in the Services prior to the day of check-in for the Guest’s then-current stay, and (b) the applicable booking is an Eligible Booking (as defined below).
B. ELIGIBLE BOOKING
An “Eligible Booking,” is a Booking that: (i) was made via the Services and/or commissionable to us; (ii) is not commissionable to a third party; and (iii) is not associated with wholesale rates, tour operator rates, crew room rates, employee rates, hotel member exclusive rates, friends and family rates, club rates, certain negotiated corporate and group rates, certain override rates, manager specials, or rates that are billed to a master folio or master account. You acknowledge and agree that Eligible Bookings may be further defined or limited by each Participating Property subject to their individual reservations terms and conditions. Furthermore, you acknowledge that any error or bug preventing the Services from normal function may forfeit your Cash Back.
C. BOOKING CONFIRMATION
A “Booking confirmation” is a receipt that is provided by you and received by Hotelio via manual submission within 48 hours prior to your stay Eligible Stay and validated by Hotelio to possess all of the following characteristics: (i) is fully complete as provided by the Participating Property (showing Check-In date, Check-Out Date, Number of Rooms, Guests Per Room, Total Cost in Dollars for the Eligible Stay, Room Type, Hotel Name, and Hotel Address); (ii) matches the information we collect for verification purposes, disclosed on our Privacy Policy available at https://hotelioprivacypolicy.carrd.co/; (iii) is clearly legible without ambiguity; (iv) has no doctored fields or content; and (v) is associated in Participating Property’s records with an email address and name that has been registered with Hotelio. In absence of a Booking Confirmation, Hotelio may so determine to accept in its place a “Guest Bill” obtained from the Participating Property as long as it is validated by Hotelio to meet the same criteria.
8. PRIVACY
We care about the privacy of our Users. You understand that by using the Services you consent to the collection, use and disclosure of your personally identifiable information and aggregate data asset forth in our Privacy Policy at https://hotelioprivacypolicy.carrd.co/, and to have your personally identifiable information collected, used, transferred to and processed in the United States.
9. SECURITY
Hotelio uses commercially reasonable physical, managerial, and technical safeguards to preserve the integrity and security of your personal information and implement your privacy settings. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.
10. THIRD-PARTY LINKS
The Services may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by Hotelio. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third party website from the Services, you do so at your own risk, and you understand that this Agreement and Hotelio’s Privacy Policy do not apply to your use of such sites. You expressly relieve us of any and all liability arising from your use of any third-party website, service, or content. Additionally, your dealings with or participation in promotions including but not limited to loyalty programs, loyalty points trackers, and special perks (“Loyalty Rewards”) for guests of lodging providers found on the Services, including but not limited to payment and delivery of goods, warranties, and Loyalty Rewards and any other terms are solely between you and such lodging providers or Participating Properties and Hotelio does not guarantee that you will receive such Loyalty Rewards at all or in addition to Cash Back. You agree that Hotelio shall not be responsible for any loss or damage of any sort relating to your dealings with such lodging providers or Participating Properties.
11. INDEMNITY
You agree to defend, indemnify and hold harmless Hotelio and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Services, including any data or content transmitted or received by the Services on your behalf; (ii) your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable law, rule or regulation; or (v) any other party’s access and use of the Services with your unique username, password or other appropriate security code.

12. NO WARRANTY
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM HOTELIO OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. WITHOUT LIMITING THE FOREGOING, HOTELIO, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; THAT THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR YOUR USE OF THE SERVICES.
HOTELIO DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY HYPERLINKED WEBSITE OR SERVICE, INCLUDING WITHOUT LIMITATION ANY RESERVATIONS MADE THROUGH THE SERVICES, AND HOTELIO WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.FEDERAL LAW, SOME STATES, PROVINCES AND OTHER JURISDICTIONS DO NOT ALLOW EXCLUSIONS AND LIMITATIONS OF CERTAIN IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOTELIO, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE. UNDER NO CIRCUMSTANCES WILL HOTELIO BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICES OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOTELIO ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES; AND/OR (VII) USER PROVIDED CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. IN NO EVENT SHALL HOTELIO, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO HOTELIO HEREUNDER OR $100.00, WHICHEVER IS GREATER.THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF HOTELIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.The Services are controlled and operated from facilities in the United States. Hotelio makes no representations that the Services are appropriate or available for use in other locations. Those who access or use the Services from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable United States and local laws and regulations, including but not limited to export and import regulations. You may not use the Services if you are a resident of a country embargoed by the United States, or are a foreign person or entity blocked or denied by the United States government. Unless otherwise explicitly stated, all materials found on the Services are solely directed to individuals, companies, or other entities located in the United States. All data on the Services’ servers are subject to deletion, alteration or transfer.NOTWITHSTANDING ANY VALUE ATTRIBUTED TO SUCH DATA BY YOU OR ANY THIRD PARTY, YOU UNDERSTAND AND AGREE THAT ANY DATA, ACCOUNT HISTORY AND ACCOUNT CONTENT RESIDING ON HOTELIO’S SERVERS, MAY BE DELETED, ALTERED, MOVED OR TRANSFERRED AT ANY TIME FOR ANY REASON IN HOTELIO’S SOLE DISCRETION, WITH OR WITHOUT NOTICE AND WITH NO LIABILITY OF ANY KIND. HOTELIO DOES NOT PROVIDE OR GUARANTEE, AND EXPRESSLY DISCLAIMS, ANY VALUE, CASH OR OTHERWISE, ATTRIBUTED TO ANY DATA RESIDING ON HOTELIO’S SERVERS.14. GOVERNING LAW, ARBITRATION, AND CLASS ACTION/JURY TRIAL WAIVER
A. GOVERNING LAW
You agree that: (i) the Services shall be deemed solely based in North Carolina; and (ii) the Services shall be deemed a passive one that does not give rise to personal jurisdiction over us, either specific or general, in jurisdictions other than North Carolina. This Agreement shall be governed by the internal substantive laws of the State of North Carolina, without respect to its conflict of laws principles. The parties acknowledge that this Agreement evidences a transaction involving interstate commerce. Notwithstanding the preceding sentences with respect to the substantive law, any arbitration conducted pursuant to the terms of this Agreement shall be governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16). The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of the federal and state courts located in Gaston County, North Carolina for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights, as set forth in the Arbitration provision below, including any provisional relief required to prevent irreparable harm. You agree that Gaston County, North Carolina is the proper forum for any appeals of an arbitration award or for trial court proceedings in the event that the arbitration provision below is found to be unenforceable.
B. ARBITRATION
READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO ARBITRATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM HOTELIO. For any dispute with Hotelio, you agree to first contact us at [email protected] and attempt to resolve the dispute with us informally. In the unlikely event that Hotelio has not been able to resolve a dispute it has with you after sixty (60) days, we each agree to resolve any claim, dispute, or controversy (excluding any claims for injunctive or other equitable relief as provided below) arising out of or in connection with or relating to this Agreement, or the breach or alleged breach thereof (collectively, “Claims”). The arbitration will be conducted in Gaston County, North Carolina, unless you and Hotelio agree otherwise. If you are a Participating Property or otherwise using the Services for commercial purposes, each party will be responsible for paying any filing, administrative and arbitrator fees, and the award rendered by the arbitrator shall include costs of arbitration, reasonable attorneys’ fees and reasonable costs for expert and other witnesses. If you are an individual using the Services for personal use: (i) the award rendered by the arbitrator may include your costs of arbitration, your reasonable attorney’s fees, and your reasonable costs for expert and other witnesses; and (ii) you may sue in a small claims court of competent jurisdiction without first engaging in arbitration, but this does not absolve you of your commitment to engage in the informal dispute resolution process. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this Section shall be deemed as preventing Hotelio from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of our data security, Intellectual Property Rights or other proprietary rights.
C. CLASS ACTION/JURY TRIAL WAIVER
WITH RESPECT TO ALL PERSONS AND ENTITIES, REGARDLESS OF WHETHER THEY HAVE OBTAINED OR USED THE SERVICES FOR PERSONAL, COMMERCIAL OR OTHER PURPOSES, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND HOTELIO ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.
15. GENERAL
A. ASSIGNMENT
This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Hotelio without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
B. NOTIFICATION PROCEDURES AND CHANGES TO THE AGREEMENT
Hotelio may provide notifications, whether such notifications are required by law or are for marketing or other business related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by Hotelio in our sole discretion. Hotelio reserves the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain means of notification as described in this Agreement. Hotelio is not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us. Hotelio may, in its sole discretion, modify or update this Agreement from time to time, and so you should review this page periodically. When we change the Agreement in a material manner, we will update the ‘last modified’ date at the bottom of this page. Your continued use of the Services after any such change constitutes your acceptance of the new Terms of Use. If you do not agree to any of these terms or any future Terms of Use, do not use or access (or continue to access) the Services.
C. ENTIRE AGREEMENT/SEVERABILITY
This Agreement, together with any amendments and any additional agreements you may enter into with Hotelio in connection with the Services (including, without limitation, any Participating Property Service Provider Agreement), shall constitute the entire agreement between you and Hotelio concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect, except that in the event of unenforceability of the universal Class Action/Jury Trial Waiver, the entire arbitration agreement shall be unenforceable.
D. NO WAIVER
No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Hotelio’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
